1. Agreement to Terms
These Terms and Conditions ("Terms") govern your use of the services provided by Web Designs UK ("we", "us", "our", or "Service Provider"). By engaging our services, booking a consultation, or using our website located at https://webdesigns-uk.com, you ("Client", "you", or "your") agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our services or website. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on our website.
2. Services Provided
Web Designs UK provides custom web design and development services, including but not limited to:
- Custom website design and development
- Website redesign and updates
- E-commerce website development
- Content management system (CMS) integration
- Booking system implementation
- Search engine optimization (SEO) services
- Website maintenance and support
- Domain registration and hosting consultation
All services are provided on a project-by-project basis, and specific deliverables will be outlined in a separate project proposal or agreement ("Project Agreement").
3. Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information, content, images, and materials necessary for the completion of the project
- Obtain all necessary permissions, licenses, and rights for any content, images, or materials provided to us
- Respond to requests for feedback, approvals, or information within the agreed timeframe (typically 5-7 business days)
- Make timely payments as specified in the Project Agreement
- Ensure that any third-party services (hosting, domain, email) are properly configured and accessible
- Comply with all applicable laws and regulations regarding the content and operation of their website
Delays in providing required materials or feedback may result in project timeline extensions and may incur additional charges.
4. Project Process and Timelines
Project timelines will be agreed upon in the Project Agreement. While we strive to meet all deadlines, timelines are estimates and may be subject to change due to:
- Client delays in providing content, feedback, or approvals
- Changes to project scope or requirements
- Unforeseen technical issues or third-party service delays
- Force majeure events
We will communicate any significant timeline changes to the Client as soon as possible. The Client will be notified when the project is ready for review or deployment.
5. Payment Terms
Payment terms will be specified in the Project Agreement. Generally:
- A deposit of 50% of the total project cost is typically required before work commences
- The remaining balance is due upon project completion and before final delivery or website launch
- For larger projects, milestone payments may be arranged
- All prices are quoted in British Pounds (GBP) unless otherwise stated
- Payment is due within 14 days of invoice date unless otherwise agreed
Late payments may incur interest charges at a rate of 8% per annum above the Bank of England base rate. We reserve the right to suspend work on any project if payments are overdue. Ownership of the completed work remains with Web Designs UK until full payment is received.
All fees are non-refundable once work has commenced, except as specified in the Cancellation section below.
6. Intellectual Property Rights
Upon full payment of all fees, the Client will receive ownership of the custom website design and code created specifically for their project. This includes:
- Custom HTML, CSS, and JavaScript code
- Custom design elements and layouts created specifically for the Client
- Custom functionality and features developed for the Client
Exclusions: The following remain the property of Web Designs UK or their respective owners:
- Third-party libraries, frameworks, plugins, and components (subject to their respective licenses)
- Pre-existing code, templates, or design elements not created specifically for the Client
- Proprietary tools, methodologies, and processes used in development
- Any content, images, or materials provided by the Client remain the Client's property
Web Designs UK retains the right to use the completed website as a portfolio example and for marketing purposes, unless otherwise agreed in writing.
7. Revisions and Changes
The Project Agreement will specify the number of revision rounds included in the quoted price. Additional revisions beyond the agreed number will be charged at our standard hourly rate.
Scope Changes: Any changes to the project scope, requirements, or deliverables after the Project Agreement has been signed may result in additional charges and timeline adjustments. We will provide a written estimate for any scope changes before proceeding.
Post-Launch Changes: Changes requested after the website has been launched will be treated as a new project or maintenance work and will be charged separately.
8. Project Delays and Extensions
If the Client fails to provide required materials, content, feedback, or approvals within the agreed timeframe, the project timeline will be extended accordingly. We are not responsible for delays caused by:
- Client delays in providing content or feedback
- Third-party service providers (hosting, domain registrars, etc.)
- Changes to project scope requested by the Client
- Force majeure events
9. Cancellation and Termination
By Client: The Client may cancel the project at any time by providing written notice. In the event of cancellation:
- All work completed up to the cancellation date must be paid for
- The deposit is non-refundable
- No refunds will be provided for work already completed
- All materials and work completed remain the property of Web Designs UK until full payment is received
By Web Designs UK: We reserve the right to terminate a project if:
- The Client fails to make payments as agreed
- The Client breaches these Terms or the Project Agreement
- The Client requests work that is illegal, unethical, or violates third-party rights
- Communication breaks down and the project cannot proceed effectively
In the event of termination by us, the Client will be invoiced for all work completed up to the termination date.
10. Website Hosting and Maintenance
Hosting: Web Designs UK does not provide hosting services. The Client is responsible for securing and maintaining their own web hosting account. We can provide recommendations and assistance with hosting setup, but the Client is responsible for all hosting fees and account management.
Maintenance: Ongoing website maintenance, updates, and support are not included in the initial project price unless specifically stated in the Project Agreement. Maintenance services may be available as a separate service agreement.
Backups: While we may create backups during development, the Client is responsible for maintaining regular backups of their live website. We are not responsible for data loss on the Client's live website.
11. Third-Party Services and Components
The website may incorporate third-party services, plugins, libraries, or components. The Client is responsible for:
- Any fees, subscriptions, or licenses required for third-party services
- Compliance with third-party terms of service and licenses
- Maintaining subscriptions or licenses for third-party services
We are not responsible for the availability, functionality, or support of third-party services. If a third-party service becomes unavailable or changes its terms, we will work with the Client to find suitable alternatives, but additional charges may apply.
12. Warranties and Guarantees
We warrant that:
- All work will be performed with reasonable skill and care
- The website will function substantially as described in the Project Agreement
- The website will be compatible with modern web browsers (Chrome, Firefox, Safari, Edge) as of the launch date
We do not warrant that:
- The website will be error-free or uninterrupted
- The website will meet all of the Client's requirements (beyond what is specified in the Project Agreement)
- The website will be compatible with all devices, browsers, or operating systems
- Third-party services will continue to function indefinitely
We will correct any material defects in our work that are reported within 30 days of project completion at no additional charge, provided such defects are due to our error and not caused by Client modifications, third-party services, or hosting issues.
13. Limitation of Liability
To the maximum extent permitted by law, Web Designs UK's total liability for any claims arising from or related to our services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
We shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from Client's use or inability to use the website
- Damages resulting from third-party services, hosting issues, or security breaches
- Any damages resulting from Client's failure to maintain backups or security measures
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
14. Indemnification
The Client agrees to indemnify and hold harmless Web Designs UK, its employees, and contractors from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- The Client's use of the website
- Content, images, or materials provided by the Client
- The Client's violation of any third-party rights (copyright, trademark, privacy, etc.)
- The Client's violation of any applicable laws or regulations
- Any modifications made to the website by the Client or third parties after delivery
15. Confidentiality
We will treat all Client information, business data, and project details as confidential. We will not disclose such information to third parties except:
- As necessary to provide our services
- With the Client's explicit consent
- As required by law or court order
- To protect our rights or property
The Client agrees not to disclose our proprietary methods, processes, or pricing to third parties without our written consent.
16. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, acts of God, or extreme weather
- War, terrorism, civil unrest, or government actions
- Internet or telecommunications failures
- Third-party service outages or failures
- Pandemics, epidemics, or public health emergencies
- Strikes, labor disputes, or other industrial action
In such events, we will make reasonable efforts to notify the Client and resume performance as soon as practicable.
17. Dispute Resolution
In the event of any dispute or claim arising from or relating to these Terms or our services:
- The parties will first attempt to resolve the dispute through good faith negotiation
- If negotiation fails, the parties agree to attempt mediation through a mutually agreed mediator
- If mediation is unsuccessful, disputes will be resolved through the courts of England and Wales
Nothing in this section prevents either party from seeking injunctive relief or other equitable remedies.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales.
19. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be posted on our website with an updated "Last updated" date. Continued use of our services after such changes constitutes acceptance of the modified Terms.
Changes to these Terms will not affect projects already in progress under a signed Project Agreement, unless both parties agree in writing.
20. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.
21. Entire Agreement
These Terms, together with any Project Agreement, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior agreements, understandings, or communications, whether written or oral.
